These Terms and Conditions ("Terms") govern your use of irakeshmishra.in and any consulting services provided by Rakesh Ranjan Services ("we", "us", or "our"). By accessing this website or engaging our services, you agree to be bound by these Terms.

1. Services

Rakesh Ranjan Services provides digital marketing consulting, performance marketing management, SEO consulting, and scent/fragrance branding services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.

2. Intellectual Property

All content on this website — including text, graphics, logos, images, and code — is the property of Rakesh Ranjan Services and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

Strategic documents, reports, and creative assets produced for clients during a paid engagement become the client's property upon full payment of all invoices.

3. Payment Terms

• Consulting retainers are billed monthly in advance
• Project-based fees require a 50% deposit before work commences
• Invoices are due within 7 days of issuance
• Late payments attract 2% monthly interest after 15 days
• All fees are exclusive of GST (18%) unless otherwise stated

4. Refund Policy

Monthly retainer fees are non-refundable once the billing period has commenced. For project engagements, the initial deposit is non-refundable if work has commenced. If we are unable to deliver agreed services due to our fault, a pro-rata refund will be considered at our discretion.

5. Confidentiality

We treat all client information, business data, and strategies as strictly confidential. We will not disclose client information to third parties without written consent, except as required by law. Clients agree to keep our methodologies, pricing, and proprietary processes confidential.

6. Results Disclaimer

Digital marketing and scent branding results vary based on numerous factors including market conditions, competition, client cooperation, and third-party platform changes. We do not guarantee specific results, rankings, ROAS, or revenue outcomes. Performance benchmarks shared on our website represent past client results and are not guarantees of future performance.

7. Client Responsibilities

Clients agree to:

• Provide accurate information and timely access to required accounts and assets
• Approve deliverables and provide feedback within agreed timelines
• Maintain adequate advertising budget as agreed
• Not engage competing consultants for the same services during our engagement without prior notice

8. Limitation of Liability

To the maximum extent permitted by law, Rakesh Ranjan Services shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website. Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim in the preceding 3 months.

9. Termination

Either party may terminate a monthly retainer engagement with 30 days' written notice. Project engagements may be terminated by mutual agreement. Upon termination, all outstanding invoices become immediately due.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance.
